Commercial franchising
Commercial franchising is a widely used business model in which one party grants another the right to operate a standardized business system associated with an established brand, operational know-how, and an existing management framework. The franchisee is permitted to conduct business under a certain degree of guidance and control by the franchisor, in order to ensure consistency and protect the reputation of the overall system.
To implement a franchising arrangement, the franchisor must demonstrate that the business model has been operating stably for a sufficient period of time and is capable of being replicated. Meanwhile, the franchisee must possess appropriate legal status and satisfy the necessary conditions to carry out business activities in accordance with the transferred model.
The franchise agreement plays a central role and must be executed in a legally valid written form. It should clearly define the rights and obligations of the parties, the scope of the franchise, franchise fees, confidentiality obligations, and the mechanisms for system control.
Prior to practical implementation, franchising activities must comply with all applicable legal procedures to ensure legality and to minimize the risk of disputes during operation.
