In contract drafting practice, properly identifying the type of contract and the applicable law is not merely a matter of classification but a strategic tool to optimize dispute resolution outcomes.
The first key issue is the statute of limitations.

If a dispute is characterized as a commercial dispute, the limitation period under commercial law is typically two years from the date when the lawful rights and interests are infringed.

In contrast, contractual disputes governed by civil law generally have a three-year limitation period from the date the claimant knows or should have known about the infringement.

This difference alone can determine whether a party retains or loses the right to initiate legal proceedings.

Beyond limitation periods, the language of dispute resolution directly affects cost, efficiency, and control over evidence.

Proceedings before Vietnamese courts are conducted in Vietnamese, which may require translation, legalization, and carries risks of misinterpretation, especially for bilingual or foreign-related contracts.

By contrast, arbitration allows the parties—particularly in disputes involving foreign elements—to agree on the language of proceedings.

This offers a significant advantage, as using English can reduce translation costs and better preserve the commercial intent of the contract.

Finally, the choice of applicable law must align with the dispute resolution mechanism.

Arbitration provides greater flexibility in selecting governing law and language, along with enhanced confidentiality.

Court proceedings, on the other hand, may offer stronger enforcement mechanisms and more accessible initial costs but are less flexible.

Therefore, between commercial law and civil law, businesses should not only ask which law is applicable, but more importantly, which legal framework best supports their dispute prevention and resolution strategy.
