Scandal at the Grand Sunlake Project – Part 6
In the Grand Sunlake Project, An Phu Gia Company transferred payment authorization forms (ủy nhiệm chi) from hundreds of customers to Thang Long Company. Pursuant to Clauses 1 and 2, Article 275 of the 2015 Civil Code, the legal grounds giving rise to obligations toward customers include contracts and unilateral juridical acts (established through Thang Long’s receipt of payment authorizations transferred from An Phu Gia for the amounts already paid by customers to An Phu Gia).
Accordingly, under Articles 118 and 119 of the 2015 Civil Code, Thang Long Company’s act of receiving these payment authorization forms via An Phu Gia, for the purpose of receiving money from customers who had obtained assignments of lease–purchase contracts, constituted the establishment of a civil transaction between Thang Long Company and the assignee customers.
Therefore, Thang Long Company’s issuance of a notice unilaterally terminating its obligations toward customers who received contract assignments from An Phu Gia—thereby excluding customers who had entered into assignment agreements from the project—constitutes a violation of its obligations arising toward these customers under the above-mentioned legal grounds.
