Scandal at Grand Sunlake part 13
The transfer of a real estate project refers to the investor’s assignment of all or part of the project, together with its associated rights, obligations, responsibilities, and lawful interests, to the transferee through a contractual agreement. In the Grand Sunlake project, Thăng Long and An Phú Gia executed Agreement No. 135, a construction contract, and an exclusive distribution contract, thereby establishing the transfer of certain exploitation rights and project implementation rights — including several key rights and obligations of the investor — to An Phú Gia. However, numerous disputes later arose during their cooperation. After initially restricting An Phú Gia’s distribution rights, Thăng Long issued Notice No. 72/2023 permitting An Phú Gia to continue assigning sale and lease-purchase contracts for units in the 45-storey tower. Subsequently, through Notice No. 125/2024, Thăng Long unexpectedly terminated the contract, causing conflict and damage to its partner. Such erratic conduct raises serious questions regarding the scope of the investor’s authority and legal responsibility, as well as its credibility in business relations. With such inconsistent behavior, one must ask whether any entity would still be willing to enter into cooperation with Thăng Long.
