In real estate investment and transactions in Vietnam, ownership and land use rights are not absolute but are strictly governed by the Law on Real Estate Business and the Law on Housing.  

First, the law imposes restrictions on eligible subjects: foreign organizations and individuals are only permitted to own residential properties within certain limits; they are not allowed to own land and are subject to restrictions on quantity, duration, and location (excluding areas related to national defense and security).

Second, there are restrictions on property types and purposes of use: not all real estate assets can be freely traded; properties formed in the future must satisfy legal conditions relating to documentation, construction progress, and bank guarantees before being eligible for transactions.

Third, limitations on disposal rights apply, meaning that transfer, lease, or mortgage transactions must align with the legal status of the property, ensuring that it is free from disputes, not subject to enforcement measures, and that all financial obligations to the State have been fulfilled.

For real estate projects, developers are additionally bound by obligations to complete infrastructure, comply with approved planning, and mobilize capital only through legally permitted mechanisms.

Furthermore, restrictions on formality and procedures play a critical role, as many transactions must be documented in writing, notarized or certified, and duly registered to be enforceable against third parties.

These legal constraints are not merely regulatory tools to control the market but also serve to safeguard the interests of investors and purchasers.

Accordingly, a thorough identification and assessment of these legal limitations at the transaction structuring stage is essential to mitigate risks and ensure sustainable real estate business operations.
